Job Description
You will be responsible for managing and executing all aspects of corporate governance and regulatory compliance for CMTS as a Company Secretary based in Faridabad. Your role will involve ensuring strict compliance with the Companies Act, 2013, SEBI regulations (if applicable), and other legal frameworks. Additionally, you will be managing compliance requirements for foreign companies in India through various structures.
Key Responsibilities:
- Ensure comprehensive and timely compliance with legal and regulatory requirements such as the Companies Act, FEMA, PMLA, and industry-specific regulations.
- Manage statutory and regulatory compliance obligations for foreign companies operating in India through different structures.
- Provide support to the Board of Directors and relevant committees by organizing meetings, preparing agendas, and drafting accurate minutes.
- Maintain accurate corporate records, including the Register of Members and statutory books, and ensure timely e-filing of statutory returns.
- Manage shareholder communications and organize Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs) in compliance with the Companies Act.
- Act as an internal advisor to review commercial contracts, identify legal and compliance risks, and ensure governance frameworks are in place.
- Prepare corporate documents and assist with legal due diligence processes for M&A or corporate restructuring activities.
Qualifications Required:
- PG/Master's Degree in a relevant field and a professional qualification as a Company Secretary (CS) from ICSI.
- 2-4 years of experience in managing corporate governance, secretarial, and compliance functions.
- Technical knowledge of the Companies Act, 2013, FEMA, and RBI compliance for foreign companies in India.
- Expertise in managing Board and General Meetings, reviewing contracts, and providing legal advice on compliance risks.
- Strong organizational skills, attention to detail, and a high level of professional ethics.
Preferred Skills:
- Working knowledge of Securities Laws (SEBI) and experience with compliance management software.
- Understanding of Accounts Payable processes and strong communication skills for interaction with the Board and regulatory bodies.
