Job Description
As an Associate in Client Services team at JPMorgan Chase & Co., you will play a crucial role as the central point of contact for Client Services/Sales Support Teams globally in handling client facing legal agreements contracting. Your responsibilities will include:
- Drafting various agreements such as JPMAM IMAs, Participation Agreements, Investment Terms, Platform Agreements, NDAs, and other client onboarding documentation within the Institutional and Intermediary business under Asset Management LOB.
- Reviewing client onboarding documentation including investment guidelines, fee schedules, service level agreements, and investment policy statements.
- Collaborating closely with internal stakeholders like Legal, Investment Specialists, Operations, and Compliance to gather input on various provisions and resolve complex legal and operational issues.
- Partnering with Client Account Management and Client Onboarding Management teams to address contract and onboarding documentation queries.
- Identifying non-standard terms in agreements, consolidating potential issues, and highlighting roadblocks in agreement negotiations that may pose investment, operational, or legal risks to the firm.
- Performing detailed analysis of contractual requirements and interpreting commercial, legal, and regulatory obligations under general supervision.
- Acting with a client service mindset and working with client businesses to facilitate the onboarding-contracting process effectively.
Qualifications, Skills, and Capabilities required for this role:
- A legal background with a law degree and substantial experience in drafting and negotiating buy-side transaction agreements within asset management or financial services organizations.
- Minimum of 5 years of experience in drafting and reviewing client onboarding contractual agreements or related buy-side documentation.
- Excellent communication and presentation skills, both oral and written, with the ability to clearly articulate complex issues to cross-functional teams and different levels within an organization.
- Strong ability to work in a fast-paced environment, stay composed under time-sensitive deadlines, and maintain organizational skills.
- Team player with a collaborative approach, capable of building consensus among various stakeholders.
- Proactive, confident, and self-motivated individual with strong judgment, decision-making skills, and attention to detail.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
