Job Description
As a Partner Chartered Accountant specializing in Direct Tax for Financial Services clients, your role will involve leading and growing the Firms Direct Tax practice for various financial institutions such as Private Equity, Venture Capital, Alternative Investment Funds (AIFs), Asset Managers, Banks, NBFCs, and Insurance companies. Your responsibilities will include strategic client relationship management, providing complex tax advisory services, overseeing deal structuring, managing litigation, and contributing to business development initiatives.
Key Responsibilities:
- Lead key client relationships within the Financial Services sector and serve as a trusted tax advisor to senior stakeholders.
- Drive practice growth through client origination, collaboration across functions, and participation in market-facing initiatives.
- Assist in pitches, proposals, and identifying new tax opportunities in the Financial Services sector.
Fund Structuring & Financial Services Advisory:
- Offer guidance on structuring AIFs from inception to SEBI approval.
- Provide comprehensive tax advisory for domestic and offshore fund structures, including those in GIFT IFSC.
- Review and provide advice on fund documentation such as PPMs, SHAs, tax chapters, and investor communications.
- Advise on waterfall mechanisms, distribution models, and carried interest computations.
Deals & Transaction Tax:
- Advise PE/VC/Real Estate funds on transaction structures, capital instruments, liquidation preferences, and more.
- Lead tax due diligence processes and provide transaction support including tax opinions.
- Review legal documents like SPAs, SHAs, indemnities, representations & warranties, and tax insurance policies.
Investment Lifecycle & Exit Advisory:
- Provide guidance on tax-efficient exit strategies such as secondary sales and IPOs.
- Support pre-IPO restructuring activities, especially regarding convertible instruments.
- Review financial models and valuation reports from tax and regulatory perspectives.
Compliance & Reporting:
- Oversee direct tax compliances, including returns, tax audits, FATCA-CRS, and regulatory filings with SEBI/RBI.
- Review financial statements prepared under IGAAP and IFRS for funds, managers, and portfolio companies.
Litigation & Regulatory Matters:
- Independently manage tax litigation up to CIT (Appeals) level.
- Coordinate with legal counsels on matters before ITAT, High Courts, and Supreme Court.
- Provide advisory on regulatory matters involving SEBI, RBI, and other regulatory bodies.
Qualifications & Experience:
- Chartered Accountant with at least 10 years of post-qualification experience in Direct Tax with a focus on Financial Services.
- Previous experience in renowned professional services firms or Big 4 organizations.
- Demonstrated expertise in fund taxation, transaction tax, litigation, and regulatory advisory.
Key Skills:
- In-depth knowledge of Indian Direct Tax laws.
- Strong acumen in commercial and transaction structuring.
