Job Description
As a Financial Due Diligence Lead, your role will involve conducting detailed financial due diligence engagements for mergers, acquisitions, and investments, with a primary focus on SaaS-based companies. You will be responsible for analyzing financial statements, key performance indicators (KPIs), and operational metrics specific to SaaS businesses such as ARR, MRR, churn, CAC, and LTV. Your tasks will include assessing revenue recognition policies, deferred revenue, and subscription-based revenue models, as well as identifying and evaluating financial risks, opportunities, and deal drivers unique to SaaS companies. You will need to prepare comprehensive due diligence reports and present your findings to clients and stakeholders. Additionally, you will analyze key KPIs like customer churn, retention rates, and revenue concentration to assess stability, growth potential, and risk exposure, supporting valuation and deal strategy.
Key Responsibilities:
- Lead and execute financial due diligence engagements for mergers, acquisitions, and investments, primarily focused on SaaS-based companies.
- Analyze financial statements, key performance indicators (KPIs), and operational metrics specific to SaaS businesses.
- Assess revenue recognition policies, deferred revenue, and subscription-based revenue models.
- Identify and evaluate financial risks, opportunities, and deal drivers unique to SaaS companies.
- Prepare detailed due diligence reports and present findings to clients and stakeholders.
- Analyze key KPIs such as customer churn, retention rates, and revenue concentration to assess stability, growth potential, and risk exposure.
- Assist clients in identifying pre and post-acquisition transaction issues.
- Perform consistency checks on data books and reports.
- Support Associate Director in identifying new business opportunities and developing long-term business relationships with Onsite teams.
- Identify potential risks in transactions and assist in developing mitigation strategies.
Qualifications Required:
- Bachelors degree in accounting and finance.
- Masters degree in accounting and finance (e.g., M. Com, MBA).
- Professional qualifications such as CFA, CPA, CA, and CMA will be advantageous.
- 16 years of relevant experience in conducting financial due diligence for projects involving SaaS-based companies.
- Strong understanding of SaaS business models, metrics, and industry trends.
- Demonstrated interpersonal and client relationships skills.
- Proficiency in Microsoft Office, with a focus on Word and Excel.
